When you think about a contract like this is basically Con in and of itself. With the writ or pretext of legalise, but only in letter, in spirit it's a scam. So a Con man like Frank is going to know how to deal with it than Matlock a defense attorney. Who as awesome as he is at his job, isn't really cut out for this challenge.

Matlock tends to deal with straight forward crime. In a jurisdiction that cares more about right and wrong than the letter of the law. He is out of his element when in comes to morally gray contract law.
